The prospect of incurring attorney fees can be intimidating. New businesses usually have an incredible number of start-up costs without the benefit of an established customer base to provide funding. Along the same lines, rarely do businesses anticipate litigation and set aside money for attorney fees.

Mindful of these pressures, we offer a number of fee structures designed to lessen the burden on small to mid-size businesses.

For business start-up work we offer flat fees. Depending on the type of entity chosen, the legal work needed to start up a business the right way will often cost less than $ 750.00. This includes:

  • The initial consultation(s) to determine the best type of entity choice for your business from a tax and business liability perspective;
  • obtaining an employer identification number from the IRS;
  • completing the necessary paperwork for the Ohio Secretary of State and paying the Secretary’s filing fees;
  • Drafting the code of regulations/bylaws/operating agreement for the company;
  • Creating a corporate book with the initial company resolutions or minutes.

Unlike corporation or limited liability company start-ups, creation of professional organizations and non-profit entities usually cost more than $ 750.00, as they involve several additional steps to be properly formed and registered on both the state and federal levels.

Business transactions and Litigation

The amount of attorney time needed to conduct business negotiations and litigation usually cannot be determined at the onset of the project. For this reason, both are generally are performed at a competitively priced hourly rate.

Additionally, we offer a number of billing options suited to the needs of the client. The last thing a business wants is to open an attorney’s monthly or quarterly invoice to find thousands of dollars of unexpected charges.

Among the billing options we provide are free threshold communications when attorney fees approach or meet a client-set threshold. Practically, this means the client will set a monthly fee threshold and will receive an email or a phone call should the fees start to approach this threshold. The client is never billed for this communication.

The threshold communication allows the client to evaluate not only the progress of the litigation or negotiations during a billing cycle, but also to compare the progress relative to the fees expended at any given time. It is paramount that our clients not only receive top notch representation, but that they also feel they are being charged fairly for it.

When it comes to reviewing contract proposals and other documents, we can quote both a flat fee and an hourly fee arrangement, letting the client choose the better option for their business. The same goes for creating contract proposals and other transactional documents.
